TERMS AND CONDITIONS OF SALES AND SERVICES

(revised January 2025)


SCOPE:

As outlined in your quote and invoice, and unless otherwise agreed in writing by the parties, these Terms and Conditions will apply to all purchase of office furniture, equipment, and related services (“the Merchandise”) from Fluid Office 360 and/or Fluid Office Holdings, Inc. (the Provider) and by the Client (the Purchaser). The quotation & purchase order from the Purchaser and all exhibits thereto will, together with these Terms and Conditions, constitute the “Agreement”. 


PRICING:

Until there is a final sign off on a drawing, pricing will be budgetary and a final internal management double-check of specifications will occur prior to final proposal issuance. 


TERMS:

Quotes are valid for 5 days unless otherwise indicated on your quote. Due to scheduling expenses, all sales are final and non refundable without prior written approval from ownership.


PAYMENT TERMS

Payment Terms are as indicated on the invoice. All payments are made in US Dollars. We DO NOT accept credit cards or checks. All payments must be made via Bank Wire or ACH as per the terms outlined on your quote and invoice.


CANCELLATION & MODIFICATIONS:

All sales are final. NO REFUNDS. No additions, substitutions, or cancellations of any order and no modifications or amendment of these Terms and Conditions shall be effective unless mutually signed by duly authorized officers of the Purchaser and Dealer. Any exchanges are subject to a re-stocking fee.


TAXES:

If required, purchaser shall pay all taxes, duties, and tariffs applicable to any purchase or sale of the Merchandise. If the Purchaser claims exemption from the payment of sales tax (or any similar tax that may be applicable to purchase) the Purchaser will provide a completed certificate of resale or tax-exempt certificate upon Dealers’ acceptance of a sale quotation or purchase order. 


JOB-SITE TERMS:

The workspace is to be free and clear of all furniture and fixtures unless otherwise agreed to in advance. We will need exclusive use of the elevator if applicable. Our quote does not include electrical work of any kind. Most cubicle systems are equipped with power which will be connected by our staff within the furniture only. An electrician will be required by the Purchaser to connect the system to the building power unless otherwise agreed to in advance. Any changes to the floor plan or furniture due to building conditions or at the request of the Purchaser are subject to additional charges.
